2. Regulation S restriction
ALKN tokens have not been and will not be registered under the US Securities Act of 1933, as amended, and may not be offered or sold in the United States or to US persons absent registration or an applicable exemption. The offering to which this site refers is made exclusively to non-US persons under Regulation S. By accessing this site, you represent that you are not a US person as defined in Rule 902 of Regulation S.

- Market risk — nickel prices are volatile and subject to macroeconomic, geopolitical, and industrial-demand factors.
- Liquidity risk — secondary-market liquidity for ALKN at launch may be limited.
- Lockup risk — 600M of 800M interests are subject to a 5-year linear vesting lockup.
- Regulatory risk — the regulatory framework for tokenised securities continues to evolve.
- Counterparty risk — performance depends on multiple counterparties including the issuer, custodians, exchanges, and auditors.
- Technology risk — blockchain infrastructure, smart contracts, and digital-asset custody introduce specific technical risks.
- Jurisdictional risk — changes in the regulatory regime of any jurisdiction in which ALKN operates could materially affect the instrument.
6. Editorial independence
RWA Nickel is a publication of the ALKN authority network, coordinated by KTS Global. Editorial decisions are made independently of the commercial interests of the issuer (Alkemya Metacore SCSp). Comparative analyses publish honest assessments of both strengths and weaknesses.
